EduPortal LS — Terms of Service

These Terms of Service ("Terms") govern access to and use of EduPortal LS (the "Platform"), a school management system owned and operated by MILT PTY LTD ("MILT", "we", "us", or "our"), a company registered in the Kingdom of Lesotho with its registered address at Speedy Complex Room 9, Maseru, Lesotho.

By creating an account, accessing, or using the Platform in any capacity — as a School, School Administrator, Teacher, Parent/Guardian, or Student — you ("User", "you") agree to be bound by these Terms. If you are accepting these Terms on behalf of a school or organisation, you confirm you have authority to bind that organisation.

If you do not agree to these Terms, you must not access or use the Platform.

1. Definitions

School — an educational institution in Lesotho registered on the Platform.
School Administrator — an individual authorised by a School to manage its account, staff, and records.
Parent — a parent or legal guardian of a Student who registers to access the Platform on the Student's behalf.
Student Data — personal information relating to an identifiable Student, including academic records, exam results, attendance, and report cards.
Free Trial — the 90-day period described in Clause 4, during which a School may use the Platform before School fees become payable.
Content — all data, records, documents, marks, comments, and files uploaded to or generated within the Platform.

2. Eligibility and Accounts

The Platform is intended for registered Schools in Lesotho and individuals affiliated with those Schools. Students access the Platform only through accounts created and supervised by a Parent or the School (see Clause 8). You must provide accurate information, keep it up to date, and are responsible for all activity under your account. Notify us immediately at support@eduls.org if you suspect unauthorised access.

3. The Platform and Its Modules

EduPortal LS provides school management functionality including student and staff records, exam and marks management, report card generation and publication, attendance tracking, a secure Exam Paper Vault, and a Secretary Portal. Access is determined by each User's assigned role and permissions. MILT may add, modify, or remove features at its discretion.

4. Free Trial and Fees

New Schools receive a 90-day Free Trial from registration, during which the School and its affiliated Teachers, Parents, and Students may use the Platform without charge. All fees below are deferred until Day 91 ("Billing Commencement Date").

School fees (from Day 91): a one-time setup fee tiered by school size (LSL 1,500 / 2,500 / 4,000), and an annual fee of LSL 1,500. Teacher accounts remain free.

Parent / per-child fees: LSL 20/month (primary) or LSL 30/month (high school) per enrolled child, with sibling discounts applied automatically. Current pricing is shown in the Platform at the point of subscription.

If a School or Parent fails to pay fees due, MILT may suspend access to paid features until payment is received. Fees are generally non-refundable once a billing period has commenced, except as required by law or at MILT's discretion.

5. Acceptable Use

You agree not to submit false or fraudulent records, gain unauthorised access to other accounts, harass or discriminate against any User, reverse-engineer or resell access to the Platform, or upload malicious code or attempt to disrupt the Platform.

6. Content and Data Ownership

As between MILT and a School, the School owns and remains the data controller for Student Data it enters into the Platform; MILT acts as a data processor on the School's behalf (see our Privacy Policy and Data Processing Agreement). Exam Paper Vault uploads remain owned by the uploading School. Upload passcodes are shown once and are not retrievable by MILT — a lost passcode requires delete-and-re-upload.

7. Report Cards and Academic Records

MILT is not responsible for the accuracy of marks, grades, or comments entered by School staff; the School remains responsible for academic content prior to publication.

8. Children's Data and Parental Consent

Much of the Student Data on the Platform relates to children under 18. Schools warrant they have authority and, where applicable, parental consent to submit Student Data. Parents who register on behalf of a child confirm they are that child's parent/guardian. Student accounts, where enabled, are supervised accounts created by a Parent or School.

9. Privacy and Data Protection

MILT processes personal information in accordance with our Privacy Policy and the Lesotho Data Protection Act, 2011 (Act No. 5 of 2012), incorporated here by reference.

10. Intellectual Property

The Platform, its software, design, and code are owned by MILT. These Terms grant only a limited right to use the Platform.

11. Availability and Support

MILT will use reasonable efforts to keep the Platform available but does not guarantee uninterrupted operation.

12. Disclaimers

The Platform is provided "as is" and "as available", to the fullest extent permitted by law.

13. Limitation of Liability

To the fullest extent permitted by law, MILT's total liability to any School or Parent shall not exceed the fees paid by that party in the 12 months preceding the claim. MILT is not liable for indirect or consequential loss, except where such exclusion is not permitted by law or for gross negligence/wilful misconduct.

14. Indemnity

Each School and Parent indemnifies MILT against claims arising from their breach of these Terms or unlawful Content.

15. Suspension and Termination

MILT may suspend or terminate accounts that breach these Terms or fail to pay fees due. On termination, MILT will make reasonable efforts to allow Schools to export Student Data before deletion.

16. Changes to These Terms

MILT may update these Terms; material changes are notified to School Administrators and, where practicable, Parents.

17. Governing Law and Disputes

These Terms are governed by the laws of the Kingdom of Lesotho. Disputes fall within the jurisdiction of the courts of Lesotho.
